Terms of Service

Welcome to REOS (reos.app), a real estate operating system connecting US investors with Israeli properties and qualified service providers. These Terms of Service ("Terms") govern your access to and use of the REOS platform. By accessing or using REOS, you agree to be bound by these Terms. REOS is operated by REOS Inc., a Delaware corporation with operations in the United States and Israel.

You must be at least 18 years of age to use REOS. To access investment features, you must be a US or Israeli resident or citizen. Service providers must possess all required professional licenses and certifications in their jurisdiction. By using REOS, you represent and warrant that you meet these eligibility requirements.

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the security of your account credentials. You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized access to your account. You may not transfer or sell your REOS account to another party.

You may use REOS to search for properties, connect with service providers, manage real estate transactions, and communicate with other platform users. You may not: use REOS for any illegal purpose or in violation of any laws, impersonate any person or entity or falsely state your affiliation, scrape, harvest, or collect data from REOS using automated means without permission, interfere with or disrupt the platform or servers, attempt to gain unauthorized access to any part of the platform, transmit viruses, malware, or other malicious code, or violate any intellectual property rights.

REOS is a technology platform connecting investors with properties and service providers. REOS does not provide investment advice, financial advice, or legal advice. All property information is provided for informational purposes only and may not be accurate or complete. You are solely responsible for conducting your own due diligence before making any investment decision. Real estate investments carry inherent risks including loss of capital. Past performance does not guarantee future results. You should consult with qualified financial, legal, and tax advisors before investing.

Service providers using REOS must: maintain all required professional licenses and certifications, provide accurate information about qualifications and experience, respond to investor inquiries in a timely and professional manner, comply with all applicable laws and professional standards, maintain professional liability insurance as required by law, and disclose any conflicts of interest. REOS reserves the right to verify credentials and remove providers who fail to meet professional standards.

REOS and its original content, features, and functionality are owned by REOS Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use REOS for its intended purpose. You retain ownership of content you submit to REOS (messages, profile information, etc.). By submitting content, you grant REOS a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely to operate and improve the platform.

You are solely responsible for content you post on REOS. You represent that you have all necessary rights to post your content. REOS reserves the right to remove any content that violates these Terms or is otherwise objectionable. You may not post content that is illegal, fraudulent, defamatory, harassing, or violates any third-party rights.

REOS is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. We do not warrant that REOS will be uninterrupted, error-free, or secure. We do not warrant the accuracy, completeness, or reliability of any property information, valuations, or investment projections. We do not guarantee any specific investment results or returns. Your use of REOS is at your sole risk.

To the maximum extent permitted by law, REOS Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or investment losses, arising from your use of REOS. Our total liability to you for any claims arising from these Terms or your use of REOS shall not exceed the amount you paid to REOS in the 12 months preceding the claim, or $100 if you have not paid any fees.

You agree to indemnify, defend, and hold harmless REOS Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: your use of REOS, your violation of these Terms, your violation of any rights of another party, or any content you submit to REOS.

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms. You may terminate your account at any time through your account settings. Upon termination, your right to use REOS ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, indemnification, and limitation of liability) shall survive.

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles. For international transactions involving Israeli properties, Israeli law may also apply to specific aspects of the transaction. Any disputes shall be resolved in accordance with the Dispute Resolution section below.

Any dispute arising from these Terms or your use of REOS shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. Arbitration shall take place in New York, New York, or remotely by mutual agreement. You waive any right to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive relief in court to protect intellectual property rights.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on REOS and updating the "Last updated" date. For material changes, we may also send email notification. Your continued use of REOS after changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using REOS.
